TERMS OF SERVICE

1. Introduction These Terms of Service ("Terms") govern your access to and use of socksfactorynow.ai (the "Site") and any purchase you make through it. The Site is operated by Vértice SpA, doing business as Socks Factory Now ("Socks Factory Now", "we", "us", "our"). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.
2. Eligibility You must be at least 18 years old (or have the consent of a parent or legal guardian) and able to enter into a binding contract to use the Site or place an order.
3. Custom, Made-to-Order Products Our socks are custom-manufactured to each customer's design and specifications. Designs may be created using our AI design tool based on the prompts and inputs you provide, and/or based on artwork, logos, text, or images you upload or approve. By placing an order, you confirm that the design you submitted or approved is final and correct. Because each item is produced specifically for you, custom products are subject to the conditions in our Refund Policy.
4. Customer Content and Intellectual Property "Customer Content" means any artwork, logos, images, text, trademarks, prompts, or other materials you upload, submit, or use to generate a design. You represent and warrant that: (a) you own all Customer Content or have obtained all rights, licenses, and permissions necessary to use it; and (b) your Customer Content and the resulting products do not infringe any third party's intellectual property, trademark, publicity, privacy, or other rights, and do not violate any law.
You grant us a non-exclusive, worldwide license to use, reproduce, and modify your Customer Content solely as needed to produce, fulfill, and ship your order, and—unless you tell us otherwise in writing—to display non-confidential finished products as portfolio or marketing examples.
We are not obligated to verify whether you hold the rights to any Customer Content. We may, at our sole discretion, refuse or cancel any order we believe infringes third-party rights or is unlawful, offensive, or inappropriate. You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your Customer Content or from products made according to your design.
5. Our Intellectual Property The Site, our AI design tool, logos, text, and all related content (excluding Customer Content) are owned by Socks Factory Now or its licensors and protected by applicable intellectual property laws. You may not copy, reproduce, or exploit them without our written permission.
6. Pricing and Payment Prices and quotes are shown in U.S. Dollars (USD). Quotes generated by our AI tool are based on the quantity and specifications you select; pricing varies with order volume. A quote becomes a binding price once you place and pay for the order. We reserve the right to correct errors and to change prices at any time before an order is confirmed.
7. Order Acceptance and Production Your order is confirmed once payment is received and you receive an order confirmation. Production begins shortly thereafter. Cancellations are accepted only as described in our Refund Policy. We reserve the right to refuse or cancel any order, in which case we will refund any amount paid.
8. Shipping, Returns, and Refunds Shipping times, costs, and carrier information are set out in our Shipping Policy. Cancellations, defects, and refunds are governed by our Refund Policy. These policies form part of these Terms.
9. Prohibited Use You agree not to use the Site or our products to create, request, or distribute content that is unlawful, infringing, defamatory, hateful, harassing, or that promotes violence or discrimination. We may remove content and suspend service for violations.
10. Disclaimers The Site and products are provided "as is" and "as available". Because screens and the AI design preview may display colors differently from the finished product, minor variations in color, placement, or finish are normal and are not considered defects. To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms.
11. Limitation of Liability To the maximum extent permitted by law, Socks Factory Now and Vértice SpA shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim relating to an order shall not exceed the amount you paid for that order.
12. Indemnification You agree to indemnify and hold harmless Socks Factory Now, Vértice SpA, and its officers and employees from any claim or demand arising out of your Customer Content, your use of the Site, or your breach of these Terms.
13. Governing Law These Terms are governed by the laws of the Republic of Chile, without regard to conflict-of-law principles. Any dispute shall be subject to the competent courts of Santiago, Chile, unless mandatory consumer-protection laws in your country of residence provide otherwise.
14. Changes to These Terms We may update these Terms from time to time. The version in effect at the time of your order applies to that order. Continued use of the Site after changes constitutes acceptance.
